Terms of Service

SquareCoil provides business-management software for sign shops, including tools for intake, estimating, proposals, production, scheduling, invoicing, and — where you enable them — connections to third-party accounting and business services.

• You must provide accurate account information and keep it current.
• You are responsible for safeguarding your login credentials and for activity under your account.
• The Service is intended for business use by people authorized to act for their organization.

As between you and SquareCoil, you own the data you and your users put into the Service (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service. You are responsible for the accuracy of Customer Data and for having the rights and authority needed to provide it and to connect any third-party account.

The Service can connect to third-party services you choose, such as QuickBooks Online, Xero, Gusto, Stripe, and email providers. When you connect one, you authorize SquareCoil to access and exchange data with it to provide the features you enable, through that provider’s authorized interfaces.

• Your use of a connected service — including QuickBooks Online, which is governed by your agreement with Intuit — remains subject to that provider’s own terms.
• We are not responsible for third-party services, their availability, or their acts and omissions.
• You can disconnect a service at any time from Settings, which ends SquareCoil's access to it.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, copy, or resell the Service except as permitted by law.

When a shop’s owner or admin invites a team member who has a mobile number but no email address, SquareCoil may send that person a text message with a link to set up their account. We send it only after the owner or admin confirms, in the invite form, that the person agreed to receive it. If you invite someone by text, you confirm that they agreed.

• Message and data rates may apply.
• Reply STOP to stop receiving texts, or HELP for help. You can also reach us at support@squarecoil.com.
• Carriers are not liable for delayed or undelivered messages.
• Text messaging originator opt-in data and consent won't be shared with any third parties. See our Privacy Policy.

Paid features are billed according to the plan or order you sign up for. Unless your order states otherwise, subscription fees are billed in advance and recur for the plan’s billing period (for example monthly or annually) until the subscription is cancelled. You may cancel at any time to stop future charges; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable, and cancelling does not entitle you to a refund or credit for the unused portion of a billing period.

SquareCoil and its licensors own the Service, including its software, design, and content, and all related intellectual-property rights. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes. We reserve all rights not expressly granted.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. SquareCoil is not a substitute for professional accounting, tax, or legal advice.

To the fullest extent permitted by law, SquareCoil will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, or data, arising out of or related to your use of the Service. To the fullest extent permitted by law, SquareCoil’s total aggregate liability arising out of or related to the Service will not exceed the amounts you paid SquareCoil for the Service in the twelve (12) months before the event giving rise to the liability.

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. On termination, your right to use the Service ends; provisions that by their nature should survive (such as ownership, disclaimers, and limitations of liability) will survive.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and provide notice as appropriate. Your continued use of the Service after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The state and federal courts located in San Diego County, California will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you and SquareCoil consent to personal jurisdiction and venue in those courts.
